By using this website or purchasing an Ogden license, you agree to these terms and to the Privacy Policy. If you don't agree, don't use the site or purchase a license.

Built with AI assistance

In the interest of being upfront about it: Ogden's own codebase — the application you're licensing — was developed with the assistance of AI software (an AI coding agent, working alongside a human developer). It's been reviewed and tested, but software developed with AI assistance can contain the same kinds of defects any software can. This is disclosed here as a matter of transparency, not as a qualifier on the "as is" terms below, which apply regardless of how the software was written.

Ogden requires your own AI

Ogden is built around connecting to AI — that's its core function — but it does not include, provide, or bundle any AI or LLM service, API key, or usage credit of any kind. You are solely responsible for obtaining, configuring, and paying for your own connection to an AI provider (OpenAI, Anthropic, Google Gemini, a self-hosted Ollama instance, or any OpenAI-compatible endpoint) before Ogden's agents can do anything. Your use of any third-party AI provider is governed entirely by that provider's own terms of service, acceptable use policy, and pricing — not by us. We have no control over, and no responsibility for, the availability, accuracy, cost, behavior, or output of any third-party AI provider you choose to connect.

AI-generated output

Ogden's personas are AI agents, and the code, text, and decisions they produce are AI generated. Like any AI output, it can be wrong, insecure, inefficient, or simply not what you meant — regardless of which provider or model backs it. You are solely responsible for reviewing, testing, and validating any output before relying on it, merging it, or deploying it. Ogden includes tooling to help with this (human-in-the-loop approval gates, diff review, automated tests) but using it doesn't substitute for your own judgment.

Your license

Purchasing self-host access grants you a license under the terms in LICENSE.txt, included in the private repository you're invited to after checkout — that file is the authoritative license text. In short: the license itself never expires and covers up to the user count of the tier you bought; your purchase includes 12 months of new releases and support, renewable afterward at 30% of your original price; declining to renew doesn't take away the version you already have.

Refunds

Because a self-host purchase grants immediate access to the source code and a private repository invite — access that, once used, can't meaningfully be "returned" — all sales are final once that access has been granted, except where a refund is required by law. If something's genuinely wrong on our end (a duplicate charge, access never granted, etc.), email us — we'll make it right.

No warranty

The website and the software are provided "as is" and "as available," without warranty of any kind, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement.

Limitation of liability

To the maximum extent permitted by law, HarrisonSmith.AI's total liability arising out of or relating to the website, the software, or these terms is limited to the amount you actually paid in the 12 months before the claim, and we are not liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or data — even if advised of the possibility.

Acceptable use

You won't use this site or the software for anything unlawful, and you won't resell, sublicense, or redistribute the software or its source code, or use it to offer a substantially similar hosted product to others — see LICENSE.txt for the complete terms governing your specific license.

Governing law

These terms are governed by the laws of the State of Utah, USA, without regard to its conflict-of-laws principles, and any dispute will be resolved in the state or federal courts located there.

Changes to these terms

If these terms change in a way that matters, we'll update the date at the top of this page. Continued use of the site or the software after a change means you accept the update.
